EB-5 program information at PacinfraX

PacinfraX is a developer-operator of power-first AI data center campuses in the United States and Vietnam. This page explains the US EB-5 Immigrant Investor Program and how PacinfraX organizes it, one project at a time. No offering is being made on this website.

The program

What EB-5 is

EB-5 is a US immigrant visa category for people who invest in a new commercial enterprise that creates full-time jobs for US workers. USCIS administers it under the EB-5 Reform and Integrity Act of 2022 (USCIS, EB-5 Immigrant Investor Program).

Under the Act, the standard investment amount is $1,050,000, or $800,000 for a project in a targeted employment area (TEA) or an infrastructure project (amounts read on ). Amounts adjust automatically on January 1, 2027 and every five years after that, following the consumer price index, under the Act. Capital must remain invested for at least two years under the Act.

Targeted employment areas

A TEA is either a rural area or a high-unemployment area (USCIS, EB-5 Questions and Answers).

Definitions and visa set-asides

Rural area. An area outside a metropolitan statistical area and outside the boundary of any city or town with a population of 20,000 or more, under the most recent decennial census.

High-unemployment area. A census tract, or a group of adjacent tracts, with an unemployment rate of at least 150 percent of the national average, as designated by the Department of Homeland Security.

Visa set-asides. The Act reserves a share of EB-5 visas each year for three groups of projects:

  • 20% for rural area projects

  • 10% for high-unemployment area projects

  • 2% for infrastructure projects

Rural priority and program authorization

Petitions for rural projects receive priority processing under the Act. The Regional Center Program is authorized through September 30, 2027. Reauthorization is a matter for Congress and is not assured. Read more on the USCIS questions and answers.

Legal structure

How PacinfraX organizes EB-5, project by project

One parent company. For each project, its own fund, its own job-creating entity and a regional center chosen for that project.

PacinfraX organizes EB-5 participation project by project. Each project would have its own new commercial enterprise (NCE), paired one-to-one with its own job-creating entity (JCE), and each project would select the regional center that fits its location, its state and that center’s experience. Each fund is formed when its project is structured and named for that project.

The platform

PacinfraX EB-5 platform, project by project PacinfraX Corporation is the parent company. Under it, each project has its own new commercial enterprise, paired one-to-one with its own job-creating entity, and its own regional center selected for that project. Each fund is formed when its project is structured and named for that project; none has been formed. Entity names are provided in the offering documents. What the offering documents disclose

Disclosed in the offering documents

  • Fund name and state of formation: in the offering documents for that project
  • Project company and capital terms: in the offering documents for that project
  • Regional center and its Form I-956F: identified in the offering documents once filed

Entity names are not published on this website. Each fund would be formed when its project is structured; none has been formed.

One project, step by step
How capital moves in one EB-5 project EB-5 investors would invest in the project's new commercial enterprise. The NCE would provide capital to its paired job-creating entity, which builds and operates the campus. A regional center, selected per project with counsel, sponsors the NCE and files Form I-956F with USCIS for the project. Investors file Form I-526E only after that filing. Regional center Selected per project with counsel USCIS Reviews the project Form I-956F filed by the regional center sponsors EB-5 investors Each with own counsel NCE The project's fund JCE Paired with the NCE Campus Where jobs are created invest loan or equity build, operate Investors file Form I-526E only after the regional center files Form I-956F for the project.
Four principles of the per-project model
  • One NCE per project

Investors in a project hold interests only in that project’s NCE. Capital, records and reporting stay separate from every other project.

  • One JCE per NCE

Each NCE lends to or invests in exactly one JCE, and each JCE takes EB-5 capital from exactly one NCE. The pairing is one-to-one in both directions.

  • One regional center per project

Each project would select, with counsel, a USCIS-designated regional center whose approved geographic area covers the site and whose record fits the state and the asset type. The regional center files the project application (Form I-956F) for that project before any investor files Form I-526E.

  • Same template, every time

The structure is repeated for each project so that investors, agents and counsel review a familiar set of documents and roles.

Entities in each project

Entities in each project

Parent company

PacinfraX Corporation

Owns the platform, the brand and the development team. Headquarters in Irvine, California.

New commercial enterprise (NCE), one per project

Project fund

The entity formed for one project, in which EB-5 investors in that project would hold their interests. It would be sponsored by a USCIS-designated regional center selected for that project with counsel.

Job-creating entity (JCE), one per fund

Project company

The entity paired with the project fund. It would receive capital from the fund and build and operate the campus whose construction and operations create the jobs counted for EB-5 purposes.

Growth

Many projects, many states

Beyond Texas (South ERCOT) and Minnesota (powered industrial site), additional US states are under evaluation; each future project would follow the same per-project structure.

Whether any site qualifies as a rural or high-unemployment area is determined in the regional center filing, not on this site.

How we evaluate a state for an EB-5 project

Six criteria for a new state
  • Power path

On-site generation, storage or an already-powered site that can energize on a construction schedule rather than an interconnection queue.

  • Rural or high-unemployment eligibility

Whether the site sits in a rural area or a high-unemployment census tract under the 2022 Act, determined with the regional center and an economist, not assumed.

  • Regional center coverage

A designated regional center whose approved geographic area covers the site and whose experience fits the state and the asset.

  • Permitting and utilities

A clear path through local, state and utility approvals, with agencies that have handled large industrial loads before.

  • Workforce and contractors

Construction trades, EPC partners and operations staff available within commuting distance of the site.

  • Customer demand

Hyperscale, AI lab, neocloud or enterprise demand that supports a phased build in power blocks, each energized as a unit.

Financing

Capital sources for US projects

US projects could be structured for EB-5 capital through a separate fund for each project; no project is currently offered. EB-5 capital would sit alongside the other sources below.

For shareholders: EB-5 as one capital source

Four capital sources

Bank debt

Construction and term loans from lenders, secured on the campus and its contracts.

Owner equity

Capital from PacinfraX Corporation and its founders.

Shareholder capital

Capital from private shareholders of PacinfraX Corporation.

EB-5 capital (potential)

US projects could be structured for EB-5 capital in the future through a separate project fund for each project, as one source alongside the others. No project is currently offered.

Fit

Why power-first data center campuses fit EB-5

Three reasons in brief
  • Large construction programs

A campus is built in phases over several years, with power plant, switchgear and data halls delivered by EPC partners.

  • Long-lived operating assets

Once energized, a campus is operated for many years, with permanent technical and facilities teams.

  • Jobs in construction and operation

Work is created during construction and again in operations, which is how EB-5 job counting is framed.

Risks

Principal risks

Every EB-5 investment carries serious risks. Offering documents set out the full list for any project.

Protect yourself

Deal only with people who write from an @pacinfrax.com address, and never send money in response to a message or a phone call. PacinfraX never asks for investment funds through this website. Read the SEC and USCIS investor alert on EB-5 scams.

  • Loss of the entire investment

An EB-5 investment is speculative. Investors can lose all of the capital they invest.

  • No assurance of an immigration outcome

USCIS decides each petition on its own merits. Neither petition approval nor lawful permanent residence is assured.

  • Program authorization

The Regional Center Program is authorized through September 30, 2027. Reauthorization is a matter for Congress.

  • Job creation depends on real activity

Jobs count only if construction and operations actually happen as planned. Delays or changes affect the job count.

Questions

Common EB-5 questions

All EB-5 questions

What is the EB-5 program?

EB-5 is a US immigrant visa category for people who invest in a new commercial enterprise that creates at least ten full-time jobs for US workers. It is administered by USCIS under the EB-5 Reform and Integrity Act of 2022.

Is a PacinfraX project in a TEA?

We do not state TEA status on this website. Any TEA determination will be documented in the project filing and shared with eligible investors in the offering documents.

Is any project currently offered to EB-5 investors?

No. No offering is being made on this website. US projects could be structured for EB-5 capital through a separate fund for each project. If that happens, any offer will be made only through confidential offering documents to eligible investors.

Is a visa or permanent residence assured?

No. USCIS decides every petition on its own merits. An EB-5 investment is speculative and involves a high degree of risk, including the loss of the entire investment, and does not assure any immigration outcome.

How do I protect myself from EB-5 fraud?

Deal only with people who write from an @pacinfrax.com address, never send money in response to a message or a phone call, and read the SEC and USCIS investor alert on EB-5 scams. PacinfraX never asks for investment funds through this website.
